"This card cannot be Normal Summoned or Special Summoned. This card cannot be changed to attack position until after your next 2 Standby Phases. If this card would be destroyed by battle, you can take damage equal to half the defense of the monster that attacked this monster instead. Increase this card's attack by 200 for every spell card in your Graveyard."

Is a much better way to put it.
Though it is definitely OPd.
I'd say it should take the full damage of the attack of the monster attacking it.

also, if you post a card with a lot of text, it's courteous to copy/paste the words under the card so the reader doesnt have to lean into the screen to read it.

"This card cannot be Normal Summoned or Special Summoned. You cannot Flip Summon this card until 2 Standby Phases have passed after it is set. If this face-down card would be destroyed by battle, you can take damage equal to half the Defense of the attacking monster instead. If this card is successfully Flip Summoned, increase this card's attack by 200 for every Normal Spell Card in your Graveyard."

That would be even better, and keeps most of the intent from the first effect (there's a difference between normal spells and continuous/quickplay/field spells)

Card is creative, but doesn't seem useful atm unless you were able to spam protecction. There are some cards that protect him, but requiring 2 tributes doesn't help him very much.

If it has to be flip summoned I dont think it will ever get its last effect. Noone's going to leave an opponents card face down for 2 turns, especially when two cards were tributed for it.

With 2800 ATK already, I don't think it always needs it. Plus there are some stall/beat down strategies that could be built I'm sure.
