OP'ed. It has way too many advantages.

 

It can be summoned easily (with Torrential Tribute, Black Rose Dragon, etc. etc.) or, as mentioned above, in the first turn. And since your opponent will have no monsters when you Special Summon this card, most for the Time it will be inflicting Battle Damage, triggering its unbalanced effect: It's a +1 for you, while being a -1 for your opponent; where is the balance there?

It is also a decent target for "Pyramid Turtle", although there are better monsters for it.

 

You could add some costs to balance the effect, or change the last effect so the monster gains it when it is Tribute Summoned: That way you either Special Summon it or Tribute a monster (which would be the cost you need) to give it the effect.
