Target 1 face-up "CXyz" or "Number C" monster you control: Special Summon from your Extra Deck an Xyz Monster with 1 Rank lower then the target, then Destroy the Target, ignoring all other effects. (This Special Summon is treated as an Xyz Summon). If you would Summon a monster whose name is in the target's card text or contains the Number as that target: you can use that target as the Xyz Material instead. (Xyz Materials attached to it also become Xyz Materials on the Summoned Monster.) If this card is destroyed by a card effect and sent to your Graveyard: You may add 1 "Rank-Up-Magic" card from your Deck to your Hand.
I initially got the idea for this card when reading a few of the new Chaos Monsters from Premium Gold so here's the basic idea I have:
I want the card that can Special Summon an Xyz Monster that's a Rank lower then a Chaos Xyz and if the monster was the original Monster (ie if I had Number C101: Silent Honors DARK and used this card to SS Number 101: Silent Honors ARK) the CXyz or Number C would become Xyz Materials like how a RUM does, but otherwise the card has no Xyz Materials. Plus it also has the ability to grab a Rank-Up-Magic from the Deck if it goes by an effect too. (Which was just an idea I had for a random extra effect)

So any thoughts or opinions? Please let me know!

The card is a bit confusing.  The main premise behind it is that you can only attach the higher ranked monster is it is in fact the lesser version, however this is worded very awkwardly.  Additionally, there is no additional effect for the ranked down monster.  Finally, the last effect will almost never come into play, because who in their right mind would set this type of card, unless you were stalling and needed to bluff backrow.

Finally analysis:

I would not even think to run this card as is.  It is just a much weaker version of numeron fall.  Numeron fall has no restriction to the ranked down monster (no restrictions that differ from the rank-up-magics anyway), and it gives the ranked down monster the ability to negate the effects of the monsters it attacks.

In order to make this card worth using over numeron fall you have to do a few things:

1) Edit the final effect.  Maybe make it so if it is negated that it can draw the other card, which will happen much more often than it being destroyed.

2) Make it give the summoned monster an effect, or make a field effect occur.  Keep in mind that this effect has to be better than numeron fall's effect, because of the increased restrictions on ranking down the     monster.

3) Fix the OCG.  As of now this card is incredibly confusing.  I had to read it several times to understand what it did.  Unfortunately I am no expert on OCG, but i would google numeron fall's effect, copy it into the     effect box, and edit it where necessary.

I hope you can take this and come back with something awesome.

Here I come for OCG fix again.

Target 1 "CXyz" or "Number C" monster you control; Special Summon from your Extra Deck, 1 Xyz Monster from your Extra Deck with that is 1 Rank lower than that target less then the targeted Monster, then destroy that target. (It This Special Summon is treated as an Xyz Summon.) If that you would Summon a monster's whose name was is in the Targeted Monster that target's card text effect or the targeted "Number C" has contains the same number of as that target Summoned Monster, you can use Attach that target to the Summoned Monster as an the Xyz Material instead. (Xyz Materials attached to it also become Xyz Materials on the Summoned monster.) If it is not, Destroy the Target. If this card is destroyed by a card effect and sent to your the Graveyard: You may can add 1 "Rank-Up-Magic" card from your Deck to your hand.

To be honest, this is just a direct reversal of (Limited) Barian's Force. Though if you somehow made your CXyz/Number C monster indestructible, then you have 2 different Xyz monsters sitting on the field now.

I was thinking I may put a regardless of protection type clause on it or do a Banish option instead. The only other note is that the RUM's do actually say "attach the target as an Xyz Material" (I copied that from Barian's Force actually) Thanks for the rest of the card text update.

@Luckysword: To me I kinda find it amusing that your saying that RDM Numeron Fall is more active then this, as it can only ever have 3 active targets currently (Utopia, Ray and Roots) in the TCG/OCG.

Beyond that, I actually looked at both Numeron Fall and the usual wording on the RUM's to get the general card text for this.
Now for your points:
1. It's not possible to have an effect that can activate when the card is negated as that effect would be negated at the same time. (That was already mentioned before that a card cannot have an effect that would trigger when the card was negated as that effect was negated with the rest of the card) but on the other hand, the effect that activates when Destroyed could activate as the effect is only negated where it was on the Field (just like how Effect Veiler wouldn't negate a card like Sangan when it hits the Graveyard) so an effect that activates when it's destroyed would go off. It's more of just for the weird rulings that you can't do this.

2. I actually was thinking of something that I could do for this, my problem was that I couldn't think of anything that I really could do without the possibility of breaking the card... Any and all suggestions here are welcome.

3. To be honest, I copied the RUM's text and went from there, but I will be updating the card text with better OCG Grammar. My whole problem was the unique way this card was made to be set-up makes it not always as easy to figure out OCG issues...

Anyway, do you all think this card is overall fairly balanced or could it be broken? Thanks guys for your input as well!

Perhaps the best alternative is to send the target to the Graveyard. It's a nigh-unstoppable form of removal.

Also, for the part on "attach the target as an Xyz Material" bit, that seems more in line with the secondary effect of Barian's Force which steals Material. The actual Rank-Up effect states "using the target as the Xyz Material", with the appropriate reminder text.
