Flying, Vigilance
Everae enters the battlefield with 1 health counter on it.
If Everae would be destroyed, remove 1 heath counter from it and if you do, regenerate it.
At the beginning  of combat on your turn you may pay 2B: Until end of turn, Everae loses flying but gains +2/+0, trample, and wither.
If Everae dies, during your next upkeep put a 6/5 black legendary creature token named “Everae Atlanta” onto the battlefield under your control. It has “Whenever an opponent gains life, Everae Atlanta suffers that much damage”.
“The guardian wyrm, protector of Bevelle” - Lulu

Explanation of abilities:

Flying: Everae can fly

Vigilance: Everae is the guardian of bevelle and thus must be vigilant [Yes I know what vigilance does]

If Everae would be destroyed, remove 1 heath counter from it and if you do, regenerate it.

Bosses have too much health to be 1 shotted, the wording is supposed to be  vaugly like

http://gatherer.wizards.com/Pages/Card/Details.aspx?name=knight+of+the+holy+nimbus

At the beginning of combat on your turn you may pay 2B: Until end of turn, Everae loses flying but gains +2/+0, trample, and wither.

Everae's strongest attack is poison breath, which damages and poisons all active party members. However it can only be used at close range. The trample is so that your opponent is less likely to chump block it.

If Everae dies, during your next upkeep put a 6/5 black legendary creature token named “Everae Atlanta” onto the battlefield under your control. It has “Whenever an opponent gains life, Everae Atlanta suffers that much damage”.

Later in the game you fight another version of Everae. This version takes the same amount of damage instead of being healed by healing items and magic

Okay, we don't like seeing our cards have far smaller text than normal. Let's see how we can trim it.

Flying, Vigilance
Everae enters the battlefield with 1 health counter on it.
If Everae would be destroyed, Remove 1 heath counter Everae: from it and if you do, Regenerate it Everae.
At the beginning of combat on your turn, you may pay 2B. If you do, Until end of turn, Everae loses flying but gains gets +2/+0 and gains trample, and wither until end of turn.
If Everae dies, during your next upkeep put a 6/5 black Legendary Dragon Zombie creature token named Everae Atlanta onto the battlefield under your control at the start of your next upkeep. It has “Whenever an opponent gains life, Everae Atlanta suffers inflicts that much damage to itself”.

And in the end, while making it more in line with current card wordings I might have made it a little bit longer. I presume the Everae Atlanta token is a Dragon Zombie to fit in line with FF's Revive-Kills-Zombie patterns.

Regeneration can be simplified into a simple activated ability without needing to check for a destruction trigger. See examples like Lotleth Troll. Knight of the Holy Nimbus only has that odd wording to give it pseudo-indestructibility until someone invests to disable that, while also giving some outs in the form of regeneration-preventing destruction effects. That said, you can scrap its health counter gimmick in favour of using another more accessible resource for regeneration - like the simple payment of mana - to make it more durable and less vulnerable to a simple kill spell.

I think you can do without the Everae Atlanta token gimmick as well, unless you're implying that both Everae original and Everae Atlanta are fought in quick succession. Achieving Everae Atlanta is almost as easy as casting Rise from the Grave on it - albeit without FF's zombie quirks.
